Terms of Service (End User License Agreement)

1. Acceptance of Terms

By downloading, installing, accessing or using the Contractor AI mobile application ("App"), you agree to be bound by these Terms of Service (this "Agreement" or "EULA") and all applicable laws and regulations. This Agreement constitutes a legally binding agreement between you ("User" or "you") and Elevated Systems LLC ("Contractor AI," "we," "us," or "our"). If you do not agree with any of these terms, you are prohibited from using our App and services.

2. Description of Service

Contractor AI provides a comprehensive business management platform for contractors, including but not limited to:

  • Job cost estimation and pricing tools
  • Invoice generation and management
  • Project and crew scheduling
  • Financial tracking and reporting
  • Customer relationship management
  • AI-powered business insights and recommendations

3. License Grant

Subject to your compliance with this Agreement, Contractor AI grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App on a mobile device that you own or control for your personal or business use.

3.1 License Restrictions

You may not:

  • Copy, modify, or create derivative works of the App
  • Reverse engineer, decompile, or disassemble the App
  • Rent, lease, loan, sell, or distribute the App
  • Remove or alter any copyright, trademark, or proprietary notices
  • Use the App for any unlawful purpose

4. User Accounts

To use our services, you must:

  • Be at least 18 years of age
  • Provide accurate and complete information when creating an account
  • Maintain the security of your password and account
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized use

5. Subscription Terms and In-App Purchases

5.1 Auto-Renewable Subscriptions

Contractor AI offers the following auto-renewable subscription options through Apple's In-App Purchase system:

  • Monthly Subscription: $29.99 per month
  • Quarterly Subscription: $79.99 per 3 months (Save 11%)
  • Annual Subscription: $299.99 per year (Save 17%)

5.2 Payment and Billing

  • Payment will be charged to your Apple ID account at confirmation of purchase
  • Subscriptions automatically renew unless auto-renew is turned off at least 24 hours before the end of the current period
  • Your account will be charged for renewal within 24 hours prior to the end of the current period at the same price
  • All payments are processed through Apple's App Store payment system
  • Prices are in U.S. Dollars and may vary in other countries
  • Apple Inc. is the Merchant of Record for all in-app purchases

5.3 Free Trial (If Offered)

If a free trial is offered:

  • The trial period will be clearly stated at the time of subscription
  • You may cancel at any time during the trial period without charge
  • If you do not cancel before the trial ends, you will automatically be charged the subscription fee
  • Any unused portion of a free trial period will be forfeited when you purchase a subscription

5.4 Managing and Canceling Subscriptions

You can manage or cancel your subscription at any time through your Apple ID account settings:

  1. Open the Settings app on your iOS device
  2. Tap your name at the top
  3. Tap "Subscriptions"
  4. Select Contractor AI
  5. Tap "Cancel Subscription"

Important: Canceling your subscription will turn off auto-renewal, but you will retain access to premium features until the end of your current billing period. Subscriptions cannot be canceled before the end of the period.

5.5 Refund Policy

All sales are final. No refunds will be issued once payment has been processed.

  • All purchases are final and non-refundable
  • No refunds will be provided for any reason once payment is completed
  • This includes partial subscription periods, unused features, or dissatisfaction with the service
  • By completing your purchase, you acknowledge and agree to this no-refund policy
  • We encourage you to review all features and pricing before purchasing

5.6 Subscription Features

Active subscribers receive access to:

  • Unlimited project management
  • Advanced pricing calculators
  • AI-powered business insights
  • Invoice and estimate generation
  • Customer relationship management
  • Financial tracking and reporting
  • Priority customer support
  • Mobile access to all features

5.7 Price Changes

We reserve the right to change subscription prices at any time. Price changes will:

  • Be communicated to you at least 30 days in advance
  • Not affect your current subscription period
  • Apply to renewals after the notice period
  • Give you the option to cancel before the new price takes effect

6. Acceptable Use

You agree to use our services only for lawful purposes and in accordance with these terms. You may not:

  • Use the service for any illegal or unauthorized purpose
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the service or servers
  • Transmit any harmful or malicious code
  • Violate any applicable laws or regulations
  • Share your account credentials with others
  • Use the App to harass, abuse, or harm another person

7. Intellectual Property

The App and its original content, features, functionality, and all related intellectual property are owned by Contractor AI and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

8. User Content and Data

You retain ownership of all content and data you input into the App ("User Content"). By using the App, you grant us a limited license to use, store, and process your User Content solely to provide our services to you. We will not share, sell, or use your User Content for any other purpose without your consent.

9. Privacy and Data Protection

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your information. By using the App, you agree to our Privacy Policy, which is incorporated into this Agreement by reference.

10. Third-Party Services

The App integrates with third-party services including:

  • Apple App Store for payments and subscriptions
  • Stripe for payment processing
  • OpenAI for AI-powered features
  • Google Calendar for scheduling integration

Your use of these third-party services is subject to their respective terms and policies. We are not responsible for third-party services.

11. Service Availability and Modifications

We strive to maintain high service availability but do not guarantee uninterrupted access. We reserve the right to:

  • Temporarily suspend the service for maintenance or updates
  • Modify, suspend, or discontinue any feature at any time
  • Update the App with bug fixes, improvements, and new features

We will provide notice of significant changes when reasonably possible.

12. Disclaimers and Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. To the fullest extent permitted by law, Contractor AI disclaims all warranties, including but not limited to:

  • Warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Warranties that the App will be error-free, secure, or uninterrupted
  • Warranties regarding the accuracy, reliability, or completeness of content

We do not warrant that the App will meet your requirements or that any errors will be corrected.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONTRACTOR AI SHALL NOT BE LIABLE FOR ANY:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Business interruption or loss of use
  • Damages arising from your use or inability to use the App

Our total liability to you for all claims arising from your use of the App shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or $100, whichever is greater.

14. Indemnification

You agree to defend, indemnify, and hold harmless Contractor AI, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the App
  • Your violation of this Agreement
  • Your violation of any rights of another person or entity
  • Your User Content

15. Termination

15.1 Termination by You

You may terminate this Agreement at any time by:

  • Canceling your subscription through your Apple ID settings
  • Deleting the App from your device
  • Deleting your account through the App settings

15.2 Termination by Us

We may suspend or terminate your access immediately, without prior notice, if you:

  • Breach this Agreement
  • Engage in fraudulent or illegal activities
  • Violate the rights of Contractor AI or others

15.3 Effect of Termination

Upon termination:

  • Your right to use the App will cease immediately
  • We may delete your account and User Content
  • You will not be entitled to any refunds (except as required by law)
  • Provisions that should survive termination will remain in effect

16. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to conflict of law principles.

16.1 Arbitration

Any dispute arising from this Agreement shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules, except as required by law.

16.2 Class Action Waiver

You agree that any arbitration or legal proceeding shall be conducted on an individual basis and not as a class action or representative action.

17. Apple-Specific Terms

If you access the App through an Apple device, you acknowledge and agree that:

  • This Agreement is between you and Contractor AI only, not Apple
  • Apple has no obligation to provide maintenance or support for the App
  • Apple is not responsible for addressing any claims relating to the App
  • Apple is a third-party beneficiary of this Agreement and may enforce it
  • You will comply with all applicable third-party terms when using the App

18. Export Control

You agree to comply with all applicable export and import laws and regulations. You represent that you are not located in a country subject to U.S. Government embargo or designated as a "terrorist supporting" country.

19. Changes to Terms

We reserve the right to modify this Agreement at any time. We will notify users of material changes by:

  • Posting the updated Agreement in the App
  • Sending an email notification to your registered email
  • Displaying a prominent notice in the App

Your continued use of the App after changes are posted constitutes acceptance of the modified Agreement. If you do not agree to the changes, you must stop using the App and cancel your subscription.

20. Severability

If any provision of this Agreement is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

21. Entire Agreement

This Agreement, together with our Privacy Policy, constitutes the entire agreement between you and Contractor AI regarding the use of the App and supersedes all prior agreements and understandings.

23. Acknowledgment

BY DOWNLOADING, INSTALLING, OR USING THE APP, YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT, AND AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS. IF YOU DO NOT AGREE TO THIS AGREEMENT, DO NOT DOWNLOAD, INSTALL, OR USE THE APP.
